NDA Job Interview – You`ll end up revealing trade secrets if you interview potential employees, especially for sensitive jobs. Anyone you hire should be required to sign an NDA (or employment contract containing a confidentiality provision). But of course, interviewees you don`t hire won`t sign an employment NDA or employment contract. For this reason, have candidates for sensitive positions sign a simple confidentiality agreement at the beginning of a job interview. In some cases, a company facing your confidentiality agreement may request the right to exclude information that has been independently developed after disclosure. In other words, the company may wish to amend subsection (b) in “(b) discovered or, regardless of the receiving party, established before or after disclosure by the disclosed party”. Option Agreement – An agreement in which one party pays the other for the opportunity to use an innovation, idea or product later. During negotiation and contracting, you and the other party may make oral or written statements. Some of these statements reach final agreement. Others are not. That`s right! Without an integration provision, it is possible that each party can claim rights on the basis of commitments made before the signing of the agreement. In some cases, you may want to impose additional requirements. For example, the beta-tester confidentiality agreement prohibits self-engineering, decompilation, or concealment of software. This prevents the receiving party (the user of the licensed software) from learning more about trade secrets. When confirming an oral disclosure, avoid disclosing the contents of the trade secret. An email or letter is acceptable, but the parties should keep copies of all such correspondence. A sample letter is shown below. Know-how does not always relate to secret information. For example, an employee`s know-how may be needed to train other collaborators on how to make or use an invention. Although know-how is a combination of secret and insecure information, we advise you to treat it as a protected trade secret. If you pass on know-how to employees or contractors, use a confidentiality agreement.

Chemical, mechanical and manufacturing processes are generally protected by confidentiality agreements. For example, processes for making chocolate powder, chickenpox vaccine, or marble imaging frames….
